1 · Terms of Service ("TOS")
1.1 Acceptance of Terms
By accessing, purchasing, or using ALYTIVE’s analytics, dashboard, or consulting services (collectively, the “Services”) you agree to be bound by these Terms of Service and any policies referenced or incorporated herein. If you do not agree, do not use the Services.
1.2 Definitions

“Client” / “you” – the legal entity or individual that enters into an order, proposal, or other agreement with ALYTIVE.

“Client Data” – structured or unstructured data, files, content, and any derivatives that the Client provides or makes accessible to ALYTIVE for analysis.

“Deliverables” – reports, dashboards, code, visualizations, and other work product produced by ALYTIVE and delivered to Client.
1.3 Services
ALYTIVE provides manual and automated data analysis, statistical modeling, visualization dashboards, and related advisory services as described in project‑specific Statements of Work ("SOWs") or order forms.
1.4 Eligibility & Account Security
You represent that you (a) are at least 18 years old; (b) have the authority to bind the Client; and (c) will provide accurate account information and keep credentials secure.
1.5 Client Obligations

Data Provision & License. Client shall timely provide accurate, lawful Client Data and hereby grants ALYTIVE a non‑exclusive, worldwide license to use such data solely to perform the Services.

Compliance. Client warrants that the collection and transfer of Client Data to ALYTIVE complies with all applicable laws, including privacy, export‑control, and intellectual‑property laws.

Co‑operation. Client will assign knowledgeable personnel, respond to information requests, and review Deliverables within mutually agreed timelines.
1.6 Fees & Payment
Fees, expenses, and payment terms are specified in the applicable SOW or order form. Late payments may incur interest at 1.5 % per month (or the maximum rate permitted by law) and suspension of Services.
1.7 Intellectual Property

Pre‑Existing IP. Each party retains all right, title, and interest in its pre‑existing materials.

Deliverables. Upon full payment, ALYTIVE grants Client a perpetual, worldwide, non‑transferable license to use Deliverables for internal business purposes. ALYTIVE retains ownership of underlying tools, templates, and know‑how and may reuse anonymized learnings.
1.8 Confidentiality
Both parties agree to protect Confidential Information with the same care they use for their own confidential materials, and at least reasonable care, and will not disclose it to third parties except as required by law or permitted in writing.
1.9 Warranties & Disclaimers
ALYTIVE warrants that Services will be performed in a professional, workmanlike manner. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED “AS IS” WITH NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.
1.10 Limitation of Liability
To the maximum extent permitted by law, ALYTIVE’s aggregate liability arising out of or relating to the Services is limited to the total fees paid by Client in the 12 months preceding the event giving rise to the claim. ALYTIVE is not liable for any indirect, consequential, exemplary, or punitive damages.
1.11 Indemnification
Client will indemnify and hold harmless ALYTIVE from claims arising from (a) Client Data; (b) Client’s breach of these TOS; or (c) Client’s violation of applicable law.
1.12 Term & Termination
Either party may terminate an SOW for convenience with 30 days’ written notice, or immediately for material breach if not cured within 15 days. Upon termination, Client shall pay all fees accrued, and Sections 1.7–1.11, 1.13, and 1.15 survive.
1.13 Modifications
ALYTIVE may modify these TOS by posting an updated version on its website or notifying Client. Material changes become effective 30 days after notice. Continued use after that constitutes acceptance.
1.14 Force Majeure
Neither party is liable for delays or failures due to causes beyond its reasonable control (e.g., natural disasters, labor disputes, internet outages).
1.15 Governing Law & Dispute Resolution
These TOS are governed by the laws of the State of Wyoming, USA, without regard to conflict‑of‑laws rules. Any dispute not resolved informally shall be submitted to binding arbitration under the Rules of the American Arbitration Association in Cheyenne, Wyoming.
1.16 Miscellaneous
These TOS, together with any SOWs, constitute the entire agreement between the parties and supersede all prior agreements. No waiver is effective unless in writing. If any provision is unenforceable, it will be modified to reflect the parties’ intent and the remainder will remain in effect. Parties are independent contractors.
2 · Privacy Policy

2.5 Sharing & Disclosure
We only share data with:

Authorized Subprocessors (cloud hosting, payment, communication, analytics) bound by confidentiality.

We do not sell personal information.
2.6 International Transfers
Data may be transferred to and processed in the United States and other countries with different data‑protection laws. We rely on Standard Contractual Clauses or other approved safeguards as required under GDPR.
2.7 Data Retention
We retain personal data as long as necessary to fulfill the purposes outlined in this policy, comply with legal obligations, resolve disputes, and enforce agreements. Client Data retention is governed by SOWs.
2.8 Security
We implement appropriate technical and organizational measures, including encryption in transit and at rest, access controls, and staff training.
2.9 Your Rights
Subject to applicable law, you may have rights to access, correct, delete, port, or restrict processing of your personal data, and to object to certain processing. Submit requests to privacy@alytive.com.
2.10 Cookies & Tracking Technologies
Our website uses first‑party cookies for session management and analytics. You can disable cookies through your browser; this may affect functionality.
2.11 Children
Services are not directed to children under 16. We do not knowingly collect data from children.
2.12 Changes to This Policy
We will post any changes on this page and update the "Effective Date" above. Material changes will be notified via email where legally required.

3 · Data Policy (Governance & Security)
3.1 Purpose & Scope
This Data Policy describes ALYTIVE’s internal standards for handling Client Data and our own corporate data throughout the data lifecycle.
3.2 Data Classification

Public – marketing content, blog posts.

Internal – internal memos, non‑sensitive metrics.

3.3 Data Collection & Ingestion

3.12 Updates to Data Policy
We may update this Data Policy periodically. Changes are effective upon posting to our website or notification to Clients.
